This End User License Agreement (EULA) ("Agreement") is a legal agreement between you ("Student," "You") and Brian Timothy and Associates LLC D/B/A FractionX ("Company," "We," "Us") governing your participation in and use of the FractionX LinkedIn Lab training course ("Course"). By purchasing, accessing, or attending the Course, you agree to the terms set forth below.

1. LICENSE GRANT

The Company grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Attend the live virtual training sessions as scheduled by the Company.

  • Access digital and/or printable training materials provided as part of the Course.

This license is strictly for personal, non-commercial use, and does not grant ownership of any Course content.

2. RESTRICTIONS ON USE

By accessing the Course, you agree to the following restrictions:

2.1 Prohibited Recording & AI Use

  • You may not record, screen capture, or duplicate any part of the live virtual training sessions using any software, hardware, or third-party services.

  • You may not use any AI-enabled note-taking applications, transcription services, or similar tools to create written or audio records of the training sessions.

2.2 Restrictions on Copying & Reproduction

  • You may not copy, reproduce, modify, adapt, or create derivative works from any part of the Course, including but not limited to live training sessions, digital materials, methodologies, frameworks, or exercises.

  • You may not translate, reverse engineer, or repurpose Course content for resale, redistribution, or commercial use.

2.3 Restrictions on Distribution

  • You may not distribute, share, sell, lease, sublicense, or otherwise transfer the Course content, materials, or recordings to any third party, whether for free or for a fee, without the express written consent of the Company.

  • You may not upload, post, or share any part of the Course content on social media, forums, public repositories, or private groups.

3. INTELLECTUAL PROPERTY RIGHTS

All content within the Course, including training materials, presentations, methodologies, and recorded sessions, is the intellectual property of the Company. All rights not expressly granted in this Agreement are reserved. Any unauthorized use of the Course content is a violation of intellectual property laws and may result in legal action.

4. TERMINATION

The Company reserves the right to revoke your access to the Course without a refund if you are found to be in violation of this Agreement. The Company may pursue legal action in cases of unauthorized use, copying, or distribution.

5. DISCLAIMER OF WARRANTIES

The Course is provided on an "as is" basis, without warranties of any kind, express or implied. The Company does not guarantee specific results from participation in the Course.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Course.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, Wake County, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Wake County, North Carolina.

8. AMENDMENTS

The Company reserves the right to update or modify this Agreement at any time. Continued participation in the Course constitutes acceptance of any updated terms.
